It does more than simply check compliance with regulatory requirements and enables a fact-based, systematic and forward-looking further development of the supervisory board.
The motives for an evaluation or self-assessment of the supervisory board are heterogeneous. In addition to the regulatory requirements resulting from section D. 12 of the GCGC for listed companies and from § 25d para. 11 nos. 3 and 4 of the German Banking Act (KWG) for credit institutions, the expectations of stakeholders regarding a regular evaluation of the functioning of the supervisory body play an important role. Structural and personnel changes in the board as well as the desire for further development or the need for a benchmark comparison are further motives to reflect on the status quo of the supervisory board's work and to initiate improvements through the evaluation. Last but not least, the change in supervisory board work has been discussed in many different ways for a long time. The current debate focuses in particular on the implications of corporate transformation processes for supervisory boards and their work.
